1. Acceptance of Terms

By downloading, installing, accessing, or using any VisioForge software development kit (SDK), libraries, tools, documentation, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In these Terms, "VisioForge" means Roman Miniailov, a sole proprietor (autónomo) registered in Spain (VAT ID ESZ0362544T), doing business as VisioForge.

If you do not agree to these Terms, you may not use the Services.

2. License Grant

Subject to your compliance with these Terms and payment of applicable fees, VisioForge grants you a limited, non-exclusive, non-transferable, revocable license to:

• Use the Services in accordance with the documentation
• Develop applications using the SDKs
• Distribute runtime components as part of your applications
• Access technical support based on your license tier

License Types

• Trial License: 30-day evaluation with full functionality. Depending on the SDK engine and output, trial use displays a watermark or an unregistered notice. Internal commercial development and evaluation are permitted, but production use and distribution require a paid license.
• Annual Developer License: One named developer, counted by developer rather than workstation, with 12 months of updates and email support. After the coverage period, the developer may continue using the last eligible SDK version.
• Lifetime·Team License: All developers in the purchasing organization at one location within one city, with perpetual use plus minor and major updates and email support for the product lifetime.

3. Permitted Use

You may:

• Develop commercial and non-commercial applications; trial use is limited to internal development and evaluation
• Modify sample code and integrate it into your applications
• Create backup copies for archival purposes
• Deploy applications to end users according to your license type
• Use an Annual license for one named developer, counted by developer rather than workstation
• Transfer the license to another developer within your organization (with notification)

4. Restrictions

You may NOT:

• Reverse engineer, decompile, or disassemble the Services
• Remove or alter any proprietary notices or labels
• Share license keys or authentication credentials
• Use the Services to develop competing products
• Sublicense, rent, lease, or lend the Services
• Use the Services for illegal or unauthorized purposes
• Exceed the scope of your license (developers, applications, deployments)
• Circumvent or disable license validation mechanisms
• Use trial versions in production or distribute applications built under a trial before purchasing a paid license
• Redistribute SDK components except as permitted

Pricing and Fees

• All prices are in Euros (EUR) unless otherwise specified
• Prices are subject to change with 30 days notice
• Taxes and duties are additional where applicable
• Volume discounts available for multiple licenses

Payment

• Payment is due upon purchase
• We accept credit and debit cards, bank transfers (Wire/SEPA/ACH), and the other methods offered at checkout
• Payment by bank transfer against an invoice is available on request

Renewal

• Annual licenses include updates and email support for 12 months; renewal is required for later SDK versions and continued support
• Renewal notices are sent before expiration
• Lifetime·Team licenses include perpetual use, minor and major updates, and email support for the product lifetime
• Discounted renewal rates for continuous coverage

6. Intellectual Property

VisioForge and its licensors retain all right, title, and interest in and to the Services, including all intellectual property rights. These Terms do not grant you any rights to use VisioForge trademarks or logos without prior written consent.

You retain ownership of your applications developed using the Services, excluding any VisioForge components or derivatives thereof.

Any feedback, suggestions, or contributions you provide may be used by VisioForge without obligation or compensation.

You agree to indemnify, defend, and hold harmless VisioForge and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

10. Termination

Termination by You

You may terminate these Terms at any time by ceasing use of the Services and uninstalling all copies.

Termination by VisioForge

VisioForge may terminate or suspend your license if you commit a material breach of these Terms and fail to cure it within thirty (30) days of written notice, including if you:

• Violate these Terms
• Fail to pay applicable fees
• Engage in fraudulent or illegal activities
• Infringe on intellectual property rights

Effect of Termination

Upon termination, you must cease using the Services and destroy all copies, except that you may retain one archival copy solely for legal, regulatory, or compliance purposes. Termination does not affect applications you have already developed and distributed in compliance with these Terms, nor your end users' continued use of those applications. Perpetual licenses remain valid for versions obtained before termination. Sections 6-11 survive termination.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of a neutral jurisdiction mutually agreed by both parties.

Regardless of the governing law, additional consumer protection laws of your jurisdiction may apply where required by applicable law.

12. Changes to Terms

VisioForge reserves the right to modify these Terms at any time. Changes will be posted on our website with an updated "Last Updated" date. Continued use of the Services after changes constitutes acceptance of the modified Terms.
